- Approved Terms Library: Powered by Pinecone (RAG), the agent queries a specialized vector database of your standard contract template, previously approved non-standard language, and clauses your company has explicitly rejected in the past.
- Traffic Light Risk Classification: Using Gemini 2.5 Pro, the agent reviews each redlined clause and categorizes the risk:
- 🔴 RED (Reject/Escalate): Material changes like unlimited liability or broadened indemnification.
- 🟡 YELLOW (Negotiate): Non-standard but negotiable changes, like extending payment terms or removing auto-renewal.
- 🟢 GREEN (Accept): Standard or harmless variations, like minor formatting or acceptable jurisdiction changes.
- Automated Counter-Language: For Red and Yellow flags, the agent drafts specific counter-language for the rep to propose back, along with negotiation tips on how to position it.
- Smart Routing via Gmail: The agent calculates an overall "Risk Score" (1-100). If it detects Red Flags, it immediately routes the full clause-by-clause analysis to your Legal team. Regardless of the score, the sales rep receives an instant summary with recommended next steps.
